Terms and Conditions for XEDRI NPC and DESIGNERD (PTY) LTD

1. Introduction

Welcome to XEDRI NPC and Designerd (Pty) Ltd. These Terms & Conditions govern your use of our websites, services, events, and any engagement with our organisations. By accessing or using our services, you agree to comply with these terms.

XEDRI NPC and Designerd (Pty) Ltd operate independently yet collaboratively. XEDRI NPC is a Public Benefit Organisation (PBO) dedicated to social impact initiatives, while Designerd (Pty) Ltd is a for-profit creative agency that provides branding, design, and marketing services.

2. Definitions

"Organisation" refers collectively to XEDRI NPC and Designerd (Pty) Ltd.
"User" refers to any individual or entity engaging with our services, websites, events, or making purchases or donations.
"Client" refers to any individual, business, or entity engaging Designerd (Pty) Ltd for services.
"Donation" refers to voluntary contributions made to XEDRI NPC, which may be eligible for tax deductions under Section 18A.
"Sponsor" refers to any entity providing funding to XEDRI NPC or Designerd (Pty) Ltd in exchange for promotional benefits.
"Intellectual Property (IP)" refers to any content, designs, branding, or materials created by or on behalf of Designerd (Pty) Ltd or XEDRI NPC.

3. Scope of Services

3.1 XEDRI NPC (Non-Profit Company)

XEDRI NPC focuses on public benefit activities, including education, community empowerment, and sustainability initiatives.
Donations made to XEDRI NPC may qualify for Section 18A tax deductions, subject to compliance with SARS regulations.
Events hosted by XEDRI NPC are community-driven and may include fundraising initiatives, workshops, and social enterprise projects.

3.2 Designerd (Pty) Ltd (For-Profit Company)

Designerd (Pty) Ltd provides creative services, including branding, design, web development, and marketing.
Fees for services rendered by Designerd (Pty) Ltd are subject to invoicing and contractual agreements.
Sponsorships, where a company receives marketing exposure, will be treated as business transactions and do not qualify as donations under Section 18A.

4. Payments, Donations & Sponsorships

4.1 Payments for Services (Designerd Pty Ltd)

Clients engaging Designerd (Pty) Ltd must adhere to the agreed payment terms outlined in their contracts or invoices.
A 50% upfront deposit may be required for projects, with the balance payable upon completion.
Late payments beyond the agreed due date will incur a 5% penalty per month.

4.2 Donations (XEDRI NPC)

Donations to XEDRI NPC must be made voluntarily without expectation of direct benefits or services.
Eligible donations will receive a Section 18A tax certificate, provided they comply with SARS regulations.
Donations are non-refundable.

4.3 Sponsorships (XEDRI NPC & Designerd Pty Ltd)

Sponsorship agreements where marketing benefits are provided will not qualify as tax-deductible donations.
Sponsorship packages will be structured separately from donations and subject to a formal agreement.

5. Events & Ticket Sales

Ticket sales for events hosted by XEDRI NPC or Designerd (Pty) Ltd do not qualify as donations and are non-refundable, except in cases where the event is cancelled.
Participants attending events must adhere to event-specific terms, including codes of conduct and health and safety guidelines.

6. Intellectual Property & Branding

All materials created by Designerd (Pty) Ltd remain the property of Designerd until full payment is received.
XEDRI NPC reserves the right to use media, including photographs and videos from its events, for promotional purposes.
Users may not reproduce, distribute, or modify any materials from either organisation without prior written consent.

7. Liability & Indemnity

7.1 Limitation of Liability

XEDRI NPC and Designerd (Pty) Ltd are not liable for any indirect, incidental, or consequential damages resulting from the use of their services or participation in their events.
The organisations shall not be responsible for losses arising from third-party service providers or external vendors.

7.2 Indemnification

Users agree to indemnify and hold XEDRI NPC and Designerd (Pty) Ltd harmless from any claims, damages, or legal disputes resulting from their engagement with the organisations.

8. Privacy & Data Protection

8.1 Data Collection

Both organisations collect personal data in accordance with South African data protection laws.
User information will not be shared with third parties without consent, except where legally required.

8.2 Website Cookies & Tracking

Our websites may use cookies to enhance user experience. Users can adjust their browser settings to disable cookies.

9. Amendments & Termination

These Terms & Conditions may be updated from time to time. Users will be notified of any significant changes.
Either organisation reserves the right to terminate services, event participation, or user access if these terms are violated.
